END USER LICENSE AGREEMENT

This End-User License Agreement (“Agreement”) is a legal agreement between you (“User”) and AMEMORI LABS LTD (“Company”, “we”, “us”, or “our”) governing the use of the software application NotebookConverter (“Software”).
By installing, copying, or using the Software, you agree to be bound by this Agreement.
If you do not agree to the terms of this Agreement, do not install or use the Software.

2. License Grant
Subject to the terms of this Agreement, AMEMORI LABS LTD grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software.
You may use the Software for both personal and commercial purposes.
This license permits installation on devices owned or controlled by you.

3. Restrictions
You may not:
• redistribute the Software
• sell or sublicense the Software
• modify, decompile, reverse engineer, or attempt to extract the source code
• create derivative works based on the Software
• remove copyright or license notices
• use the Software in violation of applicable laws
The Software remains the exclusive property of AMEMORI LABS LTD.

4. Description of the Software
NotebookConverter is a desktop application designed to convert Jupyter Notebook files (.ipynb) into PDF documents.
The Software supports multiple output formats including report and slide formats. Some features may be designated as beta and may be incomplete or unstable.
The Software does not execute notebook code and processes notebook content locally on the user’s machine.

5. User Content Responsibility
Users are solely responsible for all content they process using the Software, including but not limited to notebook files, text, data, images, and any other materials contained within those files (“User Content”).
By using the Software, you represent and warrant that you have the necessary rights and permissions to process such User Content and that the use of the Software in connection with such content does not violate any applicable law or third-party rights.
AMEMORI LABS LTD does not review, monitor, or control User Content processed through the Software.
The Company shall not be responsible for any User Content, including but not limited to content that is unlawful, infringing, confidential, or otherwise improper.
Users assume full responsibility for ensuring that their use of the Software complies with all applicable laws and regulations.

6. Artificial Intelligence Features
Certain features of the Software may interact with artificial intelligence models.
Version 1.0 of the Software integrates with models provided through the Ollama system installed and configured by the user.
Users may choose to run models locally or use models provided through cloud services supported by Ollama.
If a cloud model is selected, portions of notebook content may be transmitted to the selected model provider.
AMEMORI LABS LTD does not control or operate these external AI services.
Users are responsible for understanding the privacy policies and terms of any third-party AI providers they choose to use.
The Software does not verify the legality, accuracy, or appropriateness of User Content submitted to artificial intelligence models.

7. AI Output Disclaimer
The Software may generate text or content using artificial intelligence models.
This may include, but is not limited to:
• summaries
• abstracts
• figure titles
• table titles
• captions
• other generated content
Artificial intelligence systems may produce incorrect, incomplete, or misleading outputs.
Users are solely responsible for reviewing and verifying any generated content before relying on it.
AMEMORI LABS LTD makes no guarantees regarding the accuracy, reliability, or suitability of AI-generated outputs.

8. Corporate and Organizational Use
If the Software is used within a company, institution, or other organization, the User is responsible for ensuring that such use complies with the organization’s internal policies, security requirements, and legal obligations.
AMEMORI LABS LTD is not responsible for any issues arising from the use of the Software within corporate or institutional environments, including but not limited to compliance requirements, internal security policies, data governance rules, or organizational approval processes.

9. No Warranty
The Software is provided “AS IS” and “AS AVAILABLE” without warranties of any kind.
To the maximum extent permitted by law, AMEMORI LABS LTD disclaims all warranties including:
• merchantability
• fitness for a particular purpose
• accuracy
• reliability
• non-infringement

10. Limitation of Liability
To the fullest extent permitted by law, AMEMORI LABS LTD shall not be liable for any damages arising from the use or inability to use the Software.
This includes, but is not limited to:
• loss of data
• incorrect scientific or technical results
• financial losses
• research errors
• AI-generated inaccuracies
• business interruptions
Users assume full responsibility for verifying outputs generated by the Software.

11. Open Source Software
The Software includes components distributed under open-source licenses.
These components remain subject to their respective licenses.
A list of third-party components and licenses is provided in the Software distribution.

12. Updates
The Software may be updated periodically.
The Company is not obligated to provide updates, maintenance, or technical support.

13. Termination
This license automatically terminates if you violate any term of this Agreement.
Upon termination, you must immediately cease use of the Software and delete all copies.

You agree to comply with all applicable export control laws and regulations.

15. Governing Law
This Agreement shall be governed by the laws of England and Wales.
Any disputes arising under this Agreement shall be resolved in the courts of England and Wales.
